Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Dalea platform (“Service”) operated by Dalea ApS, a company incorporated in Denmark (“Dalea”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

These Terms apply to the self-service tiers of the Dalea platform (Free, Pro, and Academic). Enterprise customers are governed by separate agreements.

1. Definitions

  • “Customer Data” means all data, content, materials, documents, experiments, protocols, inventory records, structured data, files, and any other information that you or your Authorized Users upload, create, or store within the Service.
  • “Authorized Users” means individuals you invite to your Organization or Workspace who are permitted to access the Service under your account.
  • “Organization” means the entity or group that holds a subscription and manages one or more Workspaces.
  • “Workspace” means a collaborative environment within an Organization where users create and manage data.
  • “Community” means the Dalea Community hub where users can publish and install templates, environments, and other packages.

2. Eligibility and Registration

You must be at least 18 years of age to use the Service. By registering, you represent that:

  • You are at least 18 years old.
  • The information you provide during registration is accurate, complete, and current.
  • You will maintain the security of your account credentials and are responsible for all activity under your account.
  • You will promptly notify us of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Service Tiers

3.1 Free Tier

The Free tier provides a limited workspace for up to 3 users. The Free tier is intended for non-commercial evaluation and personal use only. You may not use the Free tier for commercial research, production workflows, or revenue-generating activities.

3.2 Academic Tier

The Academic tier is available to individuals affiliated with recognized educational or research institutions. Academic use is restricted to non-commercial academic research and education. If research conducted on the Academic tier leads to commercial applications, you must upgrade to a paid tier.

3.3 Pro Tier

The Pro tier is a paid subscription that permits commercial use. Features, storage limits, and user limits are defined by your subscription plan.

4. Customer Data Ownership

You retain all intellectual property rights to your Customer Data. Dalea claims no ownership over any data you upload, create, or derive using the Service. This includes, without limitation, scientific data, experimental results, protocols, formulations, compound information, and any other research outputs.

4.1 Limited License to Dalea

You grant Dalea a limited, non-exclusive, non-transferable license to process, store, display, and transmit your Customer Data solely for the purpose of providing, securing, and supporting the Service. This license terminates when you delete your data or your account is closed, subject to the retention terms in our Privacy Policy and any applicable Data Processing Agreement.

4.2 No Data Mining

Dalea will not:

  • Use your Customer Data to train or fine-tune artificial intelligence or machine learning models.
  • Mine, analyze, or aggregate your Customer Data for any purpose other than providing the Service to you.
  • Share, sell, or license your Customer Data to third parties except for the limited processing required to provide enabled features, as described in our Privacy Policy and any applicable Data Processing Agreement.
  • Use your Customer Data to derive insights for other customers or for Dalea’s own commercial benefit.

4.3 AI Features

The Service includes optional AI-powered features. When you use these features:

  • Dalea-managed AI features send the relevant prompts, context, content chunks, and outputs to Scaleway Generative APIs in Paris, France.
  • Your data is not used by Dalea to train or fine-tune AI models.
  • Customer-selected external AI connections may send selected data to the provider chosen by you or your authorised user.

5. EU Data Sovereignty

Core Customer Data is stored within the European Union on Dalea-managed application infrastructure supplied by Scaleway in France. Limited-purpose providers and optional features may process limited data outside the EU/EEA, as described in our Privacy Policy and any applicable Data Processing Agreement. Where required, international transfers are subject to a lawful GDPR Chapter V transfer mechanism.

6. Data Portability

You may export your Customer Data at any time through the Service’s built-in export functionality. We support export in standard, open formats to avoid vendor lock-in. Upon account termination, you will have 30 days to export your data before it is permanently deleted.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to develop a competing product or for competitive benchmarking.
  • Attempt to gain unauthorized access to other users’ accounts or data.
  • Upload malicious software, viruses, or harmful code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Exceed the usage limits of your tier (storage, users, API calls).
  • Circumvent any access controls, rate limits, or security measures.
  • Use automated systems (bots, scrapers) to access the Service without our written consent.

8. Community Packages

When you publish packages to the Dalea Community:

  • You retain ownership of the content you publish.
  • You grant Dalea a license to distribute the package as part of the Community.
  • You must specify a license for your package. The chosen license governs how others may use it.
  • You represent that you have the right to publish the content and that it does not infringe on third-party rights.

Dalea reserves the right to remove packages that violate these Terms or our community guidelines.

9. Payment and Billing

Paid subscriptions (Pro tier) are billed in EUR on a monthly or annual basis. By subscribing, you authorize recurring charges to your chosen payment method.

  • Prices are displayed inclusive of applicable VAT where required.
  • We will give at least 30 days’ notice before any price increase.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • If you are a consumer within the EU, you have a 14-day right of withdrawal from the date of purchase. This right expires once the Service has been fully performed with your prior express consent.

10. Data Security

Dalea implements appropriate technical and organizational measures to protect your Customer Data, including:

  • Encryption in transit and protection of sensitive credentials where applicable.
  • Access controls and role-based permissions.
  • Audit logging of significant actions.
  • Monitoring and logging of security-relevant events.

In the event of a personal data breach affecting Customer Data processed on your behalf, we will notify you without undue delay. We will make any notifications for which Dalea is responsible as a data controller in accordance with applicable data protection law.

11. Regulatory Disclaimers

The Free, Pro, and Academic tiers of the Service are NOT designed, intended, or validated for use in GxP-regulated environments. Specifically:

  • The Service on these tiers does not comply with FDA 21 CFR Part 11, EU Annex 11, GLP, GMP, GCP, or any other GxP regulation.
  • Electronic records created within the Service should not be relied upon as the sole legally admissible record for regulatory submissions.
  • The Service does not provide qualified electronic signatures as defined by the EU eIDAS Regulation.
  • Nothing in the Service or its documentation constitutes regulatory, legal, or compliance advice.

Customers requiring validated environments for regulated workflows should contact us about our Enterprise tier.

12. Inventory Disclaimers

The inventory management features track information as entered by users. Dalea does not verify physical inventory accuracy, enforce biosafety or containment requirements, or monitor compliance with controlled substance regulations. You are solely responsible for regulatory compliance related to materials tracked within the Service.

13. Intellectual Property

The Service, including its software, design, documentation, and trademarks, is the intellectual property of Dalea ApS. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No other rights are granted.

If you provide feedback or suggestions about the Service, you grant Dalea a non-exclusive, royalty-free license to use that feedback to improve the Service.

14. Warranties and Disclaimers

14.1 Free and Academic Tiers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14.2 Pro Tier

Dalea warrants that the Service will materially conform to the documentation during your subscription term. Our sole obligation for breach of this warranty is to correct the non-conformity or, at our option, refund the fees paid for the affected period.

14.3 No Regulatory Warranty

Regardless of tier, Dalea makes no warranty that the Service is suitable for regulated research, clinical, or manufacturing purposes.

15. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Free and Academic tiers: Dalea’s total aggregate liability is limited to EUR 0 (zero).
  • Pro tier: Dalea’s total aggregate liability is limited to the fees paid by you in the 12 months preceding the claim.
  • In no event shall Dalea be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for gross negligence (grov uagtsomhed) or willful misconduct under Danish law.

16. Indemnification

You agree to indemnify and hold Dalea harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms.
  • Your violation of applicable laws or regulations.
  • Your Customer Data infringing on third-party intellectual property rights.

17. Term and Termination

  • Free and Academic tiers: Either party may terminate at any time for any reason.
  • Pro tier: Your subscription continues for the billing period. You may cancel at any time, effective at the end of the current period.
  • Dalea may suspend or terminate your account immediately if you materially breach these Terms.
  • Upon termination, you have 30 days to export your Customer Data. After this period, your data will be permanently deleted.

18. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the Copenhagen City Court (Københavns Byret) as the court of first instance.

If you are a consumer within the EU, you retain any mandatory rights under the consumer protection laws of your country of residence, and you may bring proceedings in the courts of your country of residence.

You may also submit complaints to the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

19. Export Controls

You agree to comply with all applicable export control and sanctions laws, including EU regulations and, where applicable, OFAC sanctions. You represent that you are not located in, or a resident of, any country subject to comprehensive EU sanctions, and that you are not listed on any EU or applicable restricted party list.

20. Modifications to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days’ notice via email and in-app notification. Material changes require your affirmative consent before continued use of the Service. Your continued use after the notice period constitutes acceptance of non-material changes.

We maintain a versioned changelog of all Terms updates. Previous versions are available upon request.

21. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Dalea.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect.
  • Assignment: You may not assign these Terms without our prior written consent. Dalea may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
  • No Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
